Nigerian Breweries Plc (NB) has completed the acquisition of the remaining 20% shareholding in Distell Wines and Spirits Nigeria Limited (DWSN), making it the sole owner of the company.
In a disclosure published on the Nigerian Exchange and signed by Company Secretary Uaboi G. Agbebaku, Nigerian Breweries stated that the acquisition followed a sale and purchase agreement with minority shareholders Ekulo International Limited and Next International Nigeria Limited, each of whom held a 10% stake in DWSN.
As part of its expansion strategy, DWSN has relocated its production from rented facilities to NB’s existing plants, enabling the company to strengthen its position in the wines, spirits, and ready-to-drink (RTD) segments.
“The full acquisition will help to reduce complexities and streamline decision-making as NB continues its ambition to expand beyond beer,” the statement noted.
This development follows Nigerian Breweries’ June 2024 acquisition of an 80% stake in DWSN, along with a full takeover of Heineken Beverages’ import business in Nigeria. That transaction allowed NB to enter the importation, marketing, and distribution of various wines, spirits, and cider products.
DWSN currently produces and distributes brands under a licensing agreement with Heineken Beverages, including 4th Street wines, Chamdor, Hunters Dry, and Savannah Dry. Its imported portfolio features premium brands such as Drosty Hof, Nederburg, Amarula Cream Liqueur, Bain’s Whisky, and Scottish Leader Whisky.
With this latest acquisition, Nigerian Breweries now owns 100% of Distell Wines and Spirits Nigeria Limited, further cementing its expansion into the non-beer segment.
